The payment shall be made at the time of Delivery unless otherwise agreed upon by the Parties. The Customer shall pay the total amount of Total Payment in USD as specified in the invoice and shall also be responsible for paying all applicable taxes on the purchase of the hardware.
In no event shall Sender Company Name be individually liable to the Client Company Name for any damages for breach of fiduciary duty by third parties, unless Sender Company Name's act or failure to act involves intentional misconduct, fraud, or a knowing violation of the law.
This document shall be governed by and construed in accordance with the laws of the Governing Law.
