This Statement of Work (hereinafter referred to as the “SOW”) is entered into and effective as of SOW Effective Date,
By and Between
Customer Name (hereinafter referred to as the “Customer”), and;
Company Name (hereinafter referred to as the “Service Provider”), pursuant to the Master Agreement Name (hereinafter referred to as the “Agreement”) between the Customer and the Service Provider, signed on Master Agreement Signing Date.
This SOW is subject to the terms and conditions contained in the Agreement between the Customer and the Service Provider and is made a part thereof. Any term not defined herein shall have the same meaning specified in the Agreement.
This SOW defines the general scope of the Project Name (hereinafter referred to as the “Project”) initiated by the Customer and outlines the services provided by the Service Provider to complete the Project. The Service Provider shall work in accordance with this SOW, which shall be effective from SOW Start Date and continue till SOW End Date.

This SOW covers the deployment, project management, and services to be provided by the Service Provider in support of the Customer's Project, wherein the Customer's resources will be assigned to provide guidance pursuant to the agreed-to scope as set forth in this SOW.

This SOW covers the deployment, project management, and services to be provided by the Service Provider in support of the Customer's Project, wherein the Customer's resources will be assigned to provide guidance pursuant to the agreed-upon scope as outlined in this SOW.

The Service Provider is hereby obliged to:
(a) Keep all documents and proprietary information confidential;
(b) Meet all tasks, deliverables, and milestones as identified in this SOW;
(c) Return all materials belonging to the Customer upon completion of the Project;
(d) Maintain security clearance with no conflict for the duration of the contract;
(e) Add More Service Provider Responsibilities, if Applicable
The Customer is hereby obliged to:
(a) Provide all the resources and information to the Service Provider that is required to complete the Project;
(b) Cooperate with the Service Provider at every stage to get the Project completed on time;
(c) Add More Customer Responsibilities, if Applicable
(a) The Customer's primary contact will work with the Service Provider's Project Manager to identify priorities, assign tasks, and develop work estimates to ensure that the hours are applied appropriately.
(b) Additional staff will be contracted separately on a project-by-project basis.
(c) All materials developed under this SOW are the property of the Customer.
(d) Travel costs (if any) will be billed to the Customer at cost. Other Direct Costs (ODCs) will be invoiced at cost plus an administrative fee.
(e) The Service Provider will be available to work a minimum of Service Provider Availability in Hours hours(s) per week.
(f) The Service Provider’s rates and prices do not include sales tax, and if such tax is applicable, it will be invoiced as a separate line item.
(a) The Service Provider will invoice the Customer on a Invoice Frequency basis for the hours expended.
(b) In addition to the above, ODCs and pre-approved travel expenses will be billed as incurred.
(c) Invoices shall be mailed to the following address:
